Types of license
What is a license?
A license is a file which provides the information required to authorize or deny the right to use a protected software. Each license is generated for a specific software and a specific computer. Consequently licenses can only be installed on the computer they were created for and there can be only one valid license per software on the same computer.
The license also refers to a company, a department or a user.
What type of licenses are available?
The license system integrated in most ProSim software is called the ProSim License Manager. It allows different types of license:
- "Trial" license: temporary license which is installed automatically with the software, and which can be installed only once on the same computer;
- "Local" license (or standalone): license which allows the utilization of the software on a unique computer.
- "Network" license (or client/server) (LAN or WAN): a license which can be shared among several users through a network. The software is installed on an unlimited number of computers and the license is installed on the server. The license manages a pre-defined number of simultaneous accesses.
- The Network license can be "Borrowable". The borrowing function creates a license (called "Borrowed”) for a specific user, on a specific computer. This allows the software to be used without being connected to the server. Borrowing a license reduces the number of possible simultaneous accesses on the network license by one unit.
How to activate a license?
When first installing a ProSim application, a Trial license is automatically installed which is valid for 10 days, from installation date.
To obtain the license that corresponds to the duration of your acquisition, you need to request the license from ProSim. This procedure is described in the ProSim License Manager user's guide that you will upload with the software after you finalize your purchase and after the payment has been made.

Article 1: Object
The present general terms and conditions of sale are applied to any order placed on the ProSim SA web site. The present general terms and conditions prevail over any other stipulation emanating from the Customer, whether written or not.

Article 3: Products presentation
Characteristics of the products put on sale are summarily presented on the web site. ProSim SA is not liable or responsible for errors introduced in its contents. The photographs and graphics presented do not enter the contractual field. In the same way, ProSim SA shall not be held to be responsible for typographical errors. We do everything possible to check the accuracy of the presented elements that come from our partners. However, being dependent on the information transmitted by their care, we cannot guarantee, nor be responsible or liable for the inaccuracy of this information.
All text and images presented on ProSim SA sites have all rights of royalties and intellectual property reserved, worldwide, and their reproduction, even partial, is strictly prohibited.
Article 4: Sales offer validity
The products are on sale as long as they can be added to the "shopping cart". In case a Customer orders a product that has become unavailable, he will be informed of this unavailability as soon as possible by electronic or postal mail.
Article 5: Products prices
ProSim SA reserves the right to modify its prices at any time but the ordered products are charged at the price in force when recording the order.
Prices are indicated in Euros (€) before tax at the level of the "shopping cart". The VAT amount is specified at the end of the selection of the various products by the Customer, according to his geographical localization. For Customers located in Metropolitan France, VAT is invoiced at the ratio in force in France. It is the same for Customers located in the European Union, except if the Customer has been able to provide a valid Intracommunity VAT Number in the suitable input field. In this case, VAT is not invoiced. For other territories, prices before tax are applied to purchases.
Article 6: Order and Delivery
The Customer validates his order when activating the "Confirm your order" link at the bottom of the " Your order summary " page. He then accepts the process of order and admits having read the terms of sale and accepting them without reserve.
Orders placed on our Internet sites engage the Customer upon order confirmation by electronic mail, and receipt of the software is equivalent to notification of order.
Data registered by ProSim SA company constitute the evidence of the order nature, contents and date. This is stored by ProSim SA. The Customer can review this file by contacting ProSim SA (See Article 2).
Our products may be paid as cash, either directly on line on the web site by communicating the credit card number (protected mode SSL), or by check directly addressed to the order of ProSim SA together with the "Order summary" (this summary appears on the screen when the Customer confirms their order).
For purchases of software performed on our sites, the delivery is carried out by simple remote loading of files. The downloaded version is a provisional version, whose validity is limited in time by a software key. From the online order of the software and receipt of payment (payment validation by credit card or receipt of the cheque), ProSim SA will immediately, during normal hours of business, send to the Customer an electronic mail summing up all elements of the order and asking the Customer for a code which is automatically generated on installation of the software on the Customer's computer. On receipt of this code, ProSim SA will transmit to the Customer a permanent software key by electronic mail.
ProSim SA maintains the property of the goods sold until the effective and integral payment of their prices, and the Customer is obliged to keep the goods unaltered until total payment.
An invoice will be sent by mail to the address indicated by the Customer, after ProSim SA receives payment.
Since the software is sent by electronic mail by simple remote loading of files, the Customer will not be able to return the product thus sold and the sale will then be regarded as perfect. Consequently, ProSim SA will not accept any refunding.
Article 7: Warranties
In addition to the legal warrantee against latent defect resulting from articles 1641 and the following of the French Civil Code, the sold products are subjected to a manufacturer warrantee, exclusive of any other warrantee, in particular, of the Customer's specific need satisfaction result warrantee. ProSim SA expressly disclaims all warranty of any kind, whether express or implied, concerning the software fitness for a particular use or purpose. ProSim SA and its suppliers shall in no case be liable for the use that could be made of calculations carried out with the whole or part of the software. ProSim SA and its suppliers shall not be liable for damages of any kind (including but not limited to physical injuries, loss of profits, interruptions of activity, loss of data or any other loss of pecuniary nature) resulting from the use or the inability to use the software. In any case, the extent of ProSim SA liability will be limited to the aggregate amount actually paid by the Customer.
In the event of a case of absolute necessity recognized as such by jurisprudence, ProSim SA shall not be liable for a defect or for a delay in the software delivery and the Customer will not then be able to claim any possible damage.
In all cases of the present general conditions, ProSim SA’s responsibility is limited to the article 7 warranties, exclusive of any other damage, whatever its source can be, experienced by the Customer.
Article 8: Customer relationships . After-sales service
For any information or question, the Customer can contact ProSim SA’s "Support-Maintenance" Department during ProSim SA’s hours of business. (See Article 2).
Article 9: Data confidentiality
As a rule, personal data provided by the Customer are not diffused to third parties. However, our company can be brought to share information with commercial partners for prospection purpose. These data are added in the customer file that will reside in the customers database of ProSim SA, unless the customer expresses its opposition in writing.
In accordance with French law 78-17 of January 6, 1978, the Customer has a permanent right of access and of correction to their data. To exert this right, just contact ProSim SA (See Article 2).
Article 10: Applicable law - Litigations
Orders are subjected to French law. Contractual information is presented in the French language and the products sold are in conformity with the French regulations. If necessary, it is the responsibility of foreign Customers to check with local authorities regarding the possibilities of using the product they plan to order. ProSim SA shall not be liable in the event of non-observance of the regulation of a foreign country where the product is delivered.
In the event of litigation, the Toulouse "Tribunal de Commerce" (France) alone will be competent to decide disputes.

The purchase procedure of this site includes six steps:
I. List of packages available for the online purchase
Select one or more packages in the list. After each selection you will be redirected to your cart page.
II. Your selection
When needed change the number of licenses you would like to acquire.
To select another product, go back to the catalogue page by clicking on the welcome page of the store or by using the "back" button of your browser.
Once your selection is complete, click on "Confirm".
III. General terms and conditions
Please read carefully the general terms and conditions applied to the online purchase. Click on "Accept" to confirm your agreement and proceed. If you disagree with one of the articles, please contact our sales department : sales@prosim.net.
IV . Account creation
Fill out the form. The information requested is required to record your transaction at ProSim, in particular to deliver your products to you and to activate your Support services.
V. Purchase order and payment
This page reviews your order information invoicing. If you notice a mistake, go back to the account creation form using the corresponding icon or the "back" button of your browser.
At the bottom of the page, you are requested to choose your payment method (credit card or check).
If you choose a payment by credit card, you will be directed to the bank’s online transaction site to enter your credit card information. This site is independent of ProSim. In case of failure, please note the reference error and contact ProSim: sales@prosim.net.
If you choose a payment by check, print the purchase order by clicking on the printer icon. A new window opens and presents the purchase order in a simplified printer friendly window. Sign and stamp this page then return it to ProSim with your check to the order of "ProSim SA" by postal mail.
The printed purchase order can also be used as a quotation. Return it to ProSim with a formal purchase order from your company by postal mail or fax. Please note standard offline conditions will be applied for payment and delivery. To learn more about these standard conditions, please contact the sales department: sales@prosim.net.
In the last two cases, the purchase procedure is completed, and you can leave the site.
VI. Download
When the bank transaction is completed, you will be redirected to the download page to get the software and the ProSim License Manager user's guide. You will also receive a confirmation e-mail with the download link. Please note that these are temporary links so you will need to download the software within 48 hours.
Activation of the license
Most software available online are downloaded with a temporary license of 10 days (from installation date). To obtain the license that corresponds to your full purchase, you need to make a request to ProSim by sending information generated during installation.
This is a simple operation that takes only a few minutes and is only done once.
The details of the procedure are provided in the ProSim License Manager user's guide that you can download with the software.
Please note that ProSim will be able to provide the final license only after receiving your order and payment confirmation. Please note also that your lease term begins on the transaction date, not the license request date.
Transaction security and order processing by ProSim
All banking information (card number, expiration date...) is immediately transmitted in encrypted form using industry-standard Secure Sockets Layer (SSL) connections to the Société Générale secured payment server, 24 hours a day, 7 days per week. No information regarding the payment of the transaction is recorded or stored on this site.
The information entered in the Account Creation form is used by ProSim only to ensure final license delivery and then high quality after-sales service.
Shortly after the completion of your transaction, you will receive a letter from ProSim which includes your MUTS services (Maintenance, Update, Training and Support) number. This number is required to receive Technical Support and to access the client restricted ProSim support web site.
Limitations of the Online store
Given the nature of the products developed by ProSim, some limitations listed below are imposed on online purchasing. For more information, contact ProSim directly: sales @ prosim.net.
- All ProSim solutions are not available in the online store. Please refer to ProSim’s main web site to find all of our solutions for process modeling, simulation, and energy optimization.
- It is possible to purchase a maximum of five licenses for each package. If you would like to purchase more, please contact us: sales @ prosim.net.
- The maximum lease duration available from the online store is three years. If you would like a longer duration (with additional discount), please contact us: sales @ prosim.net.
- Unless specified differently in the product description, no permanent licenses can be purchased. Only leased licenses are available.
Please note that the software downloaded online is identical to what you would have received on a CD ROM from an "offline" purchase.
MUTS services (Maintenance, Update, Training and Support)
For each software, MUTS services are provided during the full leasing period or, in case of permanent licenses, for one year after the transaction date.
Unless specified differently in the product description (in particular in the case of the databases), MUTS services include:
- Maintenance: correction of all errors discovered and reported that materially affect the performance, functionality or other significant features of the software. The user is then ensured that any encountered malfunction will be managed in a timely manner, so that the software will remain operational.
- Update: ProSim provides software updates, together with release notes and installation instructions as soon as they are made available on the market. Updates may include new developments, improvements in programs' efficiency and reliability, or error corrections. This ensures you are always working with the latest release of the software to achieve the maximum possible benefit.
- Training: any person can freely attend scheduled training sessions related to software included in their contract (within available seats for each session). MUTS Training Sessions are organized several times per year by ProSim. The upcoming schedule and teaching content are available at www.prosim.net. This free training is very effective at the beginning, and during the lifetime of the contract, for new users to become quickly operational. It is also appreciated by more experienced users who want to improve their skills.
- Support (hot-line): off-site tailored support in the form of consultations, help, expertise, advice and assistance on the installation and use of the software. Typical technical support questions include:
- software installation issues, e.g., new installs, hardware changes or operating system evolution,
- selection of property models to be used,
- numerical convergence difficulties,
- "hints and tips" for efficiently using the software.
Questions involving process engineering expertise, development of simulation models, search for missing data (properties of new compounds, binary interaction parameters,…) and similar work may in ProSim's discretion, be treated as beyond the scope of the hot-line service. ProSim will have technically qualified experts available by phone during its usual office hours and ProSim will receive support questions by fax or e-mail, twenty-four hours a day and seven days a week. This technical support service is available in English and French. ProSim takes all possible steps to solve encountered difficulties as soon as possible and to respond to all questions promptly.
Furthermore, the restricted access "support" section of ProSim's corporate web site can be used by customers under the MUTS Services agreement. It provides users access to a large number of useful files, directly readable or available for download: latest versions of the software, user manuals, application examples, guides to install software and to manage licenses, etc. These documents help the users make the most of the software and are available at all times.
